Para 6. Terms of Payment

6.1. Payment for the Detailed Project Report shall be made in... in accor­dance with the Trade Agreement in force. The Customer shall open with the Bank... of Russia an irrevocable confirmed Letter of Credit in the Supplier's favour within thirty days of the date of signing the present Contract. The Letter of Credit shall be valid twelve months. Payment will be made in the following manner:

a) an advance of 50 % of the total contract cost shall be paid upon presentation of the Supplier's invoice without enclosure of any documents within 30 days after the present Contract is signed;

b) the remaining 50 % shall be paid within 30 days against the Supplier's invoice after handing over the Detailed Project Re­port.

Para 7. Miscellaneous From the date of signing the present Contract, all previous negotiations and correspondence with regard to the subject matter of the Contract are considered null and void. Agreement of April 27, 20... have concluded the present Contract to the effect that:

Article 1. Subject of the Contract

1.1. The Supplier shall prepare and hand over to the Customer the working drawings for construction of the units and constructions located on the territory of the Iron and Steel Plant as well as the drawings for construction of cooling pond and sludge settling tanks located outside the Plant territory. The above working drawings will be elaborated in accordance with the Detailed Project Report by the Supplier and ap­proved by the Customer. All comments, amendments and additions stipulated in the Memorandum of approval of the Detailed Project Report shall be taken into account.

1.2. All other units outside the Plant site as well as the units which are at the Plant site stated in Appendix No. 1 to the Present Contract shall be prepared by the Customer.

1.3. The Supplier is the general designer and consultant of the Plant de­signing.

Article 2. Range of Design Documentation

2.1. The Supplier shall prepare the working drawings based on the Detailed Project Report dated November 20... and approved by the Customer. The working drawings shall be prepared according to norms, standards and technical conditions in force in Russia in the metric system.

2.2. The working drawings shall be elaborated by the Supplier and handed over to the Customer in ten copies in conformity with the time of de­livery of the equipment, steel structures, refractories, pipes and mate­rials.

The drawings shall be supplied in accordance with the schedule of con­struction work agreed upon by the Parties.

2.3. The Drawings for steel structures to be fabricated in the Customer's country shall be prepared in accordance with norms and standards accepted in the country of the Customer.

2.4. The Customer shall furnish the Supplier with initial data required for the designing of working drawings within the periods of time stated in

Appendix No. 2. If necessary the Customer shall in future furnish the Supplier with other additional data for the working drawings within thirty days from the date of receipt of the Supplier's request.

2.5. While elaborating the working drawings for the units and construc­
tions of the Plant which are stated in Appendix No. 1 to the present
Contract, the Customer shall follow the approved Detailed Project
Report.

The Customer is responsible for the quality of the projecting docu­mentation for the units to be designed in the Customer's country.

2.6. The Customer shall send the Supplier intermediate drawings (general view, layout of equipment and communications of designed units) for coordination with the general layout, communications, etc.

2.7. The Supplier shall furnish the Customer with technical assignments for preparation of the working drawings of the units and constructions to be designed by the Customer in accordance with Appendix No. 1 to the present Contract.
