1. If the equipment proves to be defective or faulty _____ the guarantee period, if it does not correspond _____ the conditions _____ the Contract, if it does not reach or does not maintain the capacity stipulated _____ the Contract the Sellers have _____ their expense _____ the Buyers’ choice either to remedy the defects or to replace the faulty equipment _____ the new equipment _____ good quality.

2. The Buyers have the right to send their inspectors _____ the Sellers’ factories to check the process _____ manufacture, the quality _____ the equipment and _____ the materials used, as well as to take part _____ the test _____ the equipment.

3. The final inspection and acceptance test _____ the equipment will take place _____ the RF _____ its start-up.

4. All the technical documents including the inscriptions _____ the drawings are to be made _____ Russian.

5. All the expenses connected _____ the collection are to be defrayed _____ the Sellers.

6. Two copies _____ the above technical documents, the Certificate _____ Quality or the Report _____ Tests stating that the equipment has been manufactured _____ accordance _____ the conditions _____ the contract.

7. The Quality _____ the delivered equipment is to correspond _____ the technical conditions stipulated _____ the contract or its appendices.

8. If _____ mutual agreement the defects are eliminated _____ the Buyers the Sellers shall compensate the Buyers _____ the expenses which they have incurred _____ this connection.

9. The Release Note _____ shipment and the Test Report do not free the Sellers _____ their liabilities _____ _____ Clause 8 _____ the contract.

10. The penalty amount is to be deducted _____ the Sellers’ invoices when payment is effected _____ the Buyers.

11. Ten days _____ the test the Sellers are to inform the Buyers _____ the readiness _____ the goods _____ test.

12. Should the elimination _____ the defects or the replacement _____ faulty equipment take place the guarantee period shall be extended _____ the time taken to rectify the fault.

13. If the test is carried _____ _____ the presence _____ the Buyers’ inspector and not defects are revealed the inspector issues a Release Note _____ Shipment.

14. The Sellers should provide the Buyers’ inspectors free _____ charge _____ premises and technical facilities necessary _____ carrying _____ the inspection.

15. However, the total amount _____ the penalty is not to exceed 10 per cent _____ the value _____ the equipment delayed.

16. If the technical documentation is not placed _____ the cases or not sent the delivery is considered incomplete and _____ this case the guarantee period begins _____ the day _____ receipt _____ a complete set _____ the technical documents _____ the relevant addressee specified _____ the Buyers.

17. The Sellers will send the Buyers a copy _____ the letter covering the dispatch _____ the technical documents _____ the address specified _____ the Buyers and enclosing the list _____ the documents sent.

18. If the delivery date stipulated _____ the Contract is not observed and the shipment _____ the goods is delayed the Sellers are to pay penalty _____ the rate _____ 0.5 per cent _____ the total value _____ the equipment delayed _____ each commenced week _____ the first four weeks _____ delay and 1 per cent _____ each following commenced week thereafter.

19. Payment _____ this amount is to be effected _____ the expiration _____ the guarantee period _____ 30 days _____ receipt _____ the Sellers’ invoice and the Start-up Report, issued _____ the Buyers’ factory.

20. _____ case _____ delay _____ delivery exceeding 3 months the Buyers have the right to cancel the contract either wholly or partially _____ any compensation _____ the losses the Sellers may sustain _____ connection _____ such a cancellation.
