This Share Purchase Agreement (this «Agreement») dated June 04, 2012 is entered into between Offshore Ltd., a company organized under the laws of Cyprus (the «Seller»), having its registered office at 44, Palm str., Nicosia, Cyprus, and Open Joint Stock Company «Dacha», an open joint stock company organized under the laws of the Russian Federation (the «Purchaser») with a registered office at 22, Lubyanka, Moscow, Russia, represented by its General Director, Natalia I.
