EXCLUSIVE SERVICE REPRESENTATION CONTRACT

On the date of __________, the parties hereby described have mutually decided to sign and make effective the following service contract as well as its addendums (“Agreement”).

FLY mod China Ltd, a Chinese company, established in the People's Republic of China, hereby represented by its director Mr. Panagiotis Georgiou, hereinafter referred as “FLY mod China Ltd”

Ms. /Mr. ____ _____________, a professional model and mannequin, a citizen and taxpayer of _________, domiciled at ____________________________________________, in the city of ___, state of ___ ____, bearer of passport number __________, hereinafter referred as "MODEL".

Mr./Ms. _______________, hereinafter referred as "MODEL", have mutually agreed on the following:

Exclusive Appointment

MODEL and hereby appoint FLY as MODEL’s exclusive agent to solicit orders for the services stipulated in article 2 from customers in the territory stipulated in Article 3, and FLY accepts and assumes such appointment. During the validity of this contract, MODEL shall not be represented by any other modeling agency in China, nor perform any of the services aforementioned in this contract in the People’s Republic of China. Also, MODEL shall refrain to contact any other modeling agency in China or contact clients directly.

Professional Services

Professional services in the areas of: fashion shows, advertising campaigns on all media formats (magazine, company catalogue, posters, outdoors, internet websites, TV commercials, TV shopping, TV demo disc in shops, editorials in magazines, movie figuration and acting, TV speaker or animator, contests and pageants, promotion for events / fashion shows) and all forms of advertising and promotion are the subject of the relationship among MODEL and FLY in this contract.

MODEL grants FLY full and exclusive authority to perform the following services, not limited by the list below:

To use and promote MODEL’s image and name permanent in the Chinese fashion and advertising markets, to FLY clients, with the purpose of procuring contracts and jobs for MODEL. MODEL shall sign certain portrait license agreement as needed. MODEL must accept all these contracts and jobs, unless total nudity is involved. In these special cases, and only in these cases, FLY should get MODEL’s previous agreement.

Model agrees to follow and comply with FLY's decisions, policies and guidance regarding all aspects of the Model's modeling career in China, including MODEL’s appearance, attitude, and behavior during the entire term of this Agreement. FLY has the right to terminate this contract any time for any misbehavior by MODEL, as listed in article 11).

FLY is responsible for all negotiations, financial aspects, collection of funds, re-negotiations, etc., of all contracts and jobs, as well as to arrange and sign with the end clients all jobs and contracts regulating MODEL’s professional services. Model cannot and will not negotiate or receive funds from clients. Should a special situation occur that Model does receive payment directly from the client or indirectly from client’s agency (excluding FLY), such funds must be immediately turned in to FLY and FLY will remain its right to claim the MODEL for any compensation even to dissolve this Agreement at its sole discretion.

FLY is to receive communications, information, offers and any correspondence concerning MODEL’s professional services, even if directly addressed to MODEL.

Model agrees to keep all the terms and conditions of this contract confidential. Model shall not discuss the rates and earnings with any other parties including other models contracted with FLY. Furthermore, Model shall not disclose and discuss topics such as information and schedule of FLY to any other parties.
