If it is necessary to reduce Seller’s inventory of Cheques, including spoiled Cheques, Seller will destroy such Cheques by incinerating or shredding to the point where such Cheques

cannot be reconstructed in any way. Said destruction must be evidenced by execution of Issuer’s Destruction Certificate. The Destruction Certificate shall be executed by Seller

through two authorized signatures and shall particularly describe the Cheques by (i) Issuer, (ii) serial number, (iii) currency, (iv) denomination, (v) quantity and (vi) value.

In the event Cheques certified as destroyed by the seller are later enchased or otherwise appear for sale for any other reason whatsoever, Seller shall be fully liable for the am

unts paid by Issuer with respect to such Cheques together with any additional costs incurred by Issuer arising out of such Cheques. Such liability shall survive termination of this agreement.
