We, on behalf of a Seller offers and hereby state and represent; it is our intention to sell commodity as per specifications and in the quantity and for the price as specified in the terms and conditions as hereinafter set forth. We hereby confirm; subject to final contract terms and conditions, that we are ready, willing and able to sell this product under the following terms:

2. Contract period: 12 Months

4. Origin: As per LINDEN

Price:

BULK SHIP LOADS 1030 USD PER MT CIF ASWP

BOTTLES OF 1 LTR IN 20 FT CONTAINERS 1090 USD PER MT CIF ASWP

1. INCOTERMS 2000:

2. Destination Port/s: JEBEL ALI/ DUBAI.

3. Discharge Rate: TBD

4. Payment: By letter of credit

5. Documents: (Please mention documents required, such as B/L, Invoices, Etc)

6. Inspection: SGS or similar

7. Shipping: CIF.

8. Packing Required: Bulk

9. Loading: All Cost at the port of loading for the account of the Seller.

10. Discharge: All cost at the port of discharge for the account of the Buyer.

11. Whom to be shipped: TBD

Special Conditions: This FCO is subject to final approval and agreement by the seller. The subsequent Contract of Sale including any amendments or variations thereof, all of which has to be produced in writing and signed by both parties (Seller/Buyer) hereto.

BUYER ISSUES ICPO TO SELLER WITH FULL BANKING.

BUYER SIGNS ACCEPTANCE ON FCO AND RETURNS TO SELLER

SELLER SENDS CONTRACT TO BUYER

BUYER & SELLER SIGNS AND SEALS CONTRACT AND BOTH PARTIES LODGE

CONTRACT IN THEIR RESPECTIVE BANKS.

PROFORMA INVOICE IS ISSUED BY SELLER

ON RECEIPT OF PROFORMA INVOICE, BUYER OPENS IRREVOCABLE, NON

OPERATIVE REVOLVING LETTER OF CREDIT WHICH IS ACTIVATED BY SELLER

BY PRESENTING 2% PERFORMANCE BOND.

THE SHIPMENT COMMENCES WITHIN DESIRED SCHEDULES.

DELIVERY OF PRODUCT TO COMMENCE AS PER AGREED SCHEDULES.

PAYMENT PROCEDURE: PAYMENT WILL BE THRU FULLY FUNDED

IRREVOCABLE, NON TRANSFERRABLE, REVOLVING DOCUMENTARY LETTER OF

CREDIT, FOR THE AMOUNT OF ONE (1) MONTHS DELIVERY GIVEN FOR THE

DURATION OF THE CONTRACT PERIOD, PAYABLE AT SIGHT. RDLC WILL BE

TRANSMITTED THROUGH SWIFT 760 (CASH BACKED). ALL PAYMENTS WILL

BE MADE AT SIGHT FOR 100% FOR SHIPMENT WITHIN 5 BANKING DAYS OF

PRESENTATION OF DOCUMENTATION OF INVOICE COPY, BILL OF LADING,

APPROVED SGS REPORT, CERTIFICATE OF ORIGIN DULY ATTESTED, AND ANY

OTHER BALANCE DOCUMENTS.

DELIVERY TIME 30-45 DAYS MAX FROM DATE ISSUANCE OF L/C.
