GENERAL CONDITIONS OF SALE AND DELIVERY

 
    Every order is subject to due confirmation of delivery from the Sellers.   1. PRICES All orders for instruments, components and accessories will be confirmed and delivered at the price applicable at the time of confirmation of the order. These prices may be altered subject to previous notice, as stated in the price-list. All prices are net prices, FCA (Free Carrier), including packing unless otherwise indicated by the Sellers.   For orders less than $1,000.00, a surcharge of $200.00 will be added.   2. DISPATCH Dispatch of the goods is at the Buyers’ expense and risk, unless other conditions have been agreed upon and are specified in the order confirmation. In case of delay, damage or loss of a consignment or part thereof, it devolves upon the Buyers to claim damages upon the carrier, and no responsibility rests with the Sellers.   3. TIME OF DELIVERY Delivery dates are estimates, however the Sellers will do their utmost to adhere to them. On the occurrence of any event which affects adherence to given delivery dates, the Sellers will inform the Buyers immediately.

    4. RETURN OF GOODS Complaints should be made to the Sellers’ address: … within 8 days upon receipt of the goods. No goods may be returned without written consent obtained from the Sellers. Any article returned without such consent will be held at the Buyers’ disposal. The dispatch of goods returned is at the Buyers’ expense and risk.   5. WARRANTY AND SERVICE The Sellers cover all manufacturing faults, which are confirmed and approved by the Sellers’ technical department within 24 months of the date of invoice. To products purchased by the Sellers, the warranty given by the suppliers applies. This entitles the Buyers to replacement of faulty parts or repair of them. The Sellers reserve the right to replace all or parts of the instrument instead of repairing it. The warranty does not apply to faults caused by inadequate maintenance, bumps or shocks, or dismantling done by others than the Sellers’ service department. Rapidly wearing out parts and those suffered from natural wear are not covered by the warranty.   6. PAYMENT The Sellers’ invoices are to be paid to their account. The standard term of payment is 30 days, unless otherwise agreed in writing, and this must be observed at all times. If payment of the delivery is not made within the stated time limit, interest will be charged corresponding to the … Bank’s current official discount rate +6%. If the time limit for payment is not adhered to, the Sellers may refuse to deliver the goods.   7. GENERAL PROVISIONS In case of disputes or disagreements, the Commercial and Maritime Court of Copenhagen shall be the venue.
