ВСТУП

Навчальний посібник „Foreign Commercial Paper” призначається для самостійної та аудиторної роботи студентів фаху „Переклад”. The term “commercial paper” refers to written promises or orders to pay sums of money and comprises such instruments as drafts, promissory notes, checks, and certificates of deposit.

The most common of these are notes and checks. With the advent of “electronic banking” in recent years – such as widespread use of automated teller machines and experimentation with point-of-sale terminals in retail stores – it has been predicted that some day we will live in an almost checkless society. Because of such development the rate of growth of checks usage has levelled off, or even slightly declined in recent years. Thus the present use of commercial paper in our credit-oriented society is of enormous significance and will remain so well into foreseeable future.

A knowledge of the basic rules for dealing with this subject thus continues to be important to the business person.

Commercial paper has been used for many centuries according to archeologists, who tell us that crude promissory notes existed in very early civilizations. By the thirteenth century, merchants in the Middle East were making significant use of both promissory notes and bills of exchange. By the beginning of the seventeenth century, both kinds of instruments were commonly used in England.

But early English courts refused to recognize commercial paper and merchants created their own methods for enforcing rights arising from the use of these instruments. The rules they developed were enforced by traders at their “fair” or “borough” courts and together they made up what is known as the law merchant.

During the eighteenth and nineteenth centuries these principles were substantially recognized by English and American courts and became part of the common law of both countries.

Law merchant is responsible for the concept of negotiability and is the basis of many of the rules of partnership, insurance and agency. Over the years many of the rules of law merchant were incorporated into the common law and late into statute, for example the Bills of Exchange Act 1882 and the Sale of Goods Act 1893.
