16.1. Any amendments to this Contract shall be effective only if executed in writing by each of the parties hereto.

16.2. This Contract, which incorporates Schedules A and B hereto, constitutes the entire agreement between the Parties and supersedes all prior agreements, written or oral, between the Parties regarding the subject matter hereof.

Schedule A

To the Contract № 4H/99 dated 12/30/xx

List of Facilities and Equipment Delivered to the Contractor by the Customer

1. In terms of this Contract the Contractor carries out maintenance and operation of the following Facilities:

1.1. All wells located in N field including, without limitation:

- Exploratory wells under conservation which have been put back into operation;

- Newly drilled wells which have been put into operation during the period of performance of the present Contract;

- Wells under conservation;

- Wells abandoned due to geological and technical reasons;

- Other wells.

1.2. Oil production facilities

1.3. Metering and transportation facilities

2. Taking into account the fact that the Facilities and the Customer’s Equipment have been delivered to the Contractor by the Customer in accordance with the Contract No. 01-98 the Parties agree to take joint inventory of the Facilities and Customer’s Equipment delivered to the Contractor by the Customer during the agreed period of time.

3. The main reasons for such inventory taking are the following:

3.1. Arrangement of the complete list of Facilities, check-up of the condition of the Facilities, including their correspondence to the obligatory requirements of the existing law.

3.2. Arrangement of the complete list of the Customer’s equipment actually delivered to the Contractor by the Customer in accordance with the Contract No. 01-98 dated March 1, 1xxxx, check of the condition of the Customer’s Equipment, including as for its correspondence to the obligatory requirement of the existing law;

3.3. Check up of the factual presence of the Customer’s Equipment and its condition, check up of the correspondence of the factual presence of the Equipment to the accountant records.

4. On the basis of the result of the joint inventory taking the Parties shall sign the detailed list of Facilities and Customer’s Equipment, which shall form an integral part of the present Contract.

Payment Terms

Agreed Price

1.1. The price to be paid for the services rendered by the Contractor under the present Contract makes 1 (One million) rubles per month, including VAT (20%) in the amount of (y) rubles.
