1.Subject of the Contract

2.Price of the Goods

3.Payment conditions

3.1.Payment for the Goods delivered under the present Contract are effected in ___________, on the basis of the Proforma Invoices.

4.Processing and execution of orders

4.1. The Parties settle the assortment, quantity, unit price, the total amount of the Goods and the terms of shipment for each consignment by issuing the Specification which is signed by the representatives of both Parties and becomes an integral part of this Contract.

4.2.After the settlement of the terms for each consignment and signing the Specification that is an integral part of the present Contract, the Seller sends the Proforma Invoice to the Buyer.

4.3. The properly made out Specification and Proforma Invoice are the documents, determining the terms of delivery, quantity, assortment and cost of the Goods for each particular consignment.

4.4. Besides Specification and Proforma Invoice to each delivery the Seller must submit the packing documents with the following information to the Buyer:

- name of the Goods;

- name of the Manufacturer;

- model;

- country of origin;

- weight;

- volume;

- quantity of items and quantity of packages;

- serial numbers (if necessary).

4.5. The Seller shall immediately advise the Buyer about the shipment of the Goods by e-mail or fax:

- type of the Goods;

- shipment date;

- place of loading and unloading;

- number of packages;

- gross weight and net weight.

 

 

5. Date of Delivery

5.1. The Seller undertakes to dispatch the Goodsafter entering in the SellerЃfs account an advance payment under the Proforma Invoice paid in compliance with the clause 3.2 of the present Contract, according to the delivery dates determined in the Specification for each single consignment.

5.2. Should the Seller fail to deliver the Goods within the terms stipulated in the present Contract, the advance payment shall be returned to the Buyer and added into the BuyerЃfs account not later than ____________________ calendar days since the date of payment for the Goods.

 

6. Way of delivery

6.1. The Goods under the present Contract are delivered according to instructions stipulated in the Specification signed by the representatives of both Parties and in Proforma Invoice which is based on the Specification

The current Guarantee covers all Goods delivered in accordance with the current Contract and lasts for ________________ calendar months starting from the date of retail sale of the Goods to end-user, but not more than ___________________ calendar months from the date of delivery to the Buyer under Incoterms 2010.

8.2.The Seller guarantees the proper operation of Goods within stated period in 8.1 hereof. The current Guarantee does not cover wear and damage or other defects, caused by chemical, electrical influence and negligence or incorrect use by the Buyer or the end-users.

8.3.The Buyer shall at its cost and responsibility provide after sale service to the customers of the Goods in the Territory by setting up service organization with qualified technical personnel.

9. Force Majeure

9.1.The force majeure clause of ______________

_____________________________________________________________________ is hereby included in this present Contrcat.

9.2.Grounds of relief from liability:

A Party is not liable for a failure to perform any of obligations under the present Contract in so far as it proves:

Ѓ? that the failure was due to an impediment beyond his control; and

Ѓ? that it could not reasonably be expected to have taken the impediment and its effects upon its ability to perform into account at the time of conclusion of the present Contract; and

Ѓ? that it could not reasonably have avoided or overcome it or at least its effects.

9.3.An impediment within paragraph 9.2. of the present Contract as mentioned above, may result from events such, as the following, this enumeration not being exhaustive nor limited:

· war, whether declared or not, civil war, riots and revolutions, acts of piracy or sabotage;

· natural disasters, such as violent storms, cyclones, earthquakes, tidal waves, floods, destruction by lightning;

· explosions, fire, destruction of machines, of factories, and any kind of installations;

· boycotts, strikes and lockouts of all kinds, go-slows, occupation of factories and premises and work stoppages which occur in the enterprise of the party seeking relief;

· acts of authority, whether lawful or not, apart from the act for which the Party seeking relief assumed the risk by virtue of others provisions of the present Contract; and apart from the matter mentioned in Paragraph 9.4. below.

9.4.For the purpose of Paragraph 9.2 and 9.3, and unless otherwise provided in the present Contract, impediment does not include lack of authorization, of licenses, of entry or/and residence permits, or of approvals necessary for performance of the present Contract and to be issued by the public authority and kind whatsoever in the country of the Party seeking relief.

9.5.Should any of the mentioned above circumstances arise, any of the Parties immediately informs in written form the other Party of the occurrence and supposed duration of the impediment. The necessary and sufficient confirmation of such circumstances will be the corresponding written certificate given by the ___________________________________ and Industry or other competent body.

9.6.If the impossibility of the complete or partial performance of the PartiesЃf obligations due to the above said circumstances lasts for more than ______________________________________ calendar days, the Parties will reserve the right to terminate the present Contract totally or partly without the indemnifying eventual losses (including expenses) to each other.

10. Arbitration

 

10.1. The Parties will in every possible way aspire to settle possible disputes and disagreements, during realization of the present „Rontract, in a friendly way.

10.2. In case of impossibility to resolve any disputes by negotiation they should be referred to and finally resolved by the ____________________________________________________________ in accordance with its Commercial Arbitration Rules. The laws of __________________ are applicable in this case and for the interpretation and transaction in relation to this Contract.

 

11. Validity of the Contract, the order of its change and cancellation

11.1.The present Contract comes into force since the moment of its signing and remains valid till ______________________________________

11.2.The present Contract can be terminated before the appointed time without cause and liability:

11.3. In case of termination of the present Contract before the appointed time the Seller and the Buyer settle the final accounts during _____

11.4.Any amendments and addenda to the present Contract are valid only if being done in written form and signed by authorized representatives of both Parties.

 

12. Miscellaneous

 

12.1.The Parties guarantee that they have all rights, powers and documents, necessary for concluding and fulfilling of the present Contract.

12.2.Neither Party hereby is entitled to transfer its rights and obligations under the present Contract without prior written consent of the both Parties.

12.3.The Parties are obliged to observe strict confidentiality during execution of the present Contract.

12.4.All the previous negotiations and correspondence between the Parties regarding the subject matter of this Contract become null and void starting with the signing date of the present Contract and shall be superseded by this present Contract.

12.5.The present Contract is drawn in 2 (Two) original Copies in the Russian/English languages, both texts being equally authentic, each copy for each of the Parties. In case of the contradiction beginnings between English and Russia texts of the present Contract, English variant shall prevail.

12.6.In case of changing the address or accounts the Parties shall inform each other about it during _________________________ calendar days since the date of these changes.

12.7.The Buyer shall strictly adhere to the form and manner of marking the trademark of Ѓg________________________Ѓh (ЃgTrademarkЃh) as specified in manuals provided by the Seller with respect to any advertising media and other sales promotion items. The Buyer shall acknowledge that it has no right or license under the Trademark, and its only rights is to sell the Goods provided by the Seller which has the Trademark thereon, in accordance with terms and conditions set forth in this Contract.
